Rider Agreement (Delivery Partner Agreement)

Last updated: 14 October 2026

This agreement is between STACHY DIGITAL PRIVATE LIMITED ("Stachy", "we") and you, a delivery partner who carries orders through the Stachy Rider app ("you"). You accept it in the app when you join, and going on duty means you continue to accept it. The version you accepted, and when, is recorded.

1. Who you are to us

You are an independent delivery partner. You are not our employee, and this is not a contract of employment.

  • You choose when to go on duty and when to stop. We do not set your hours, and there is no shift you must fill.
  • You may decline any delivery offered to you.
  • You may work for anyone else, including our competitors.
  • You use your own vehicle and pay its running costs: fuel, maintenance, insurance and any fines you incur.
  • We do not pay wages, overtime, leave, provident fund or gratuity. You are responsible for any tax on what you earn.

Where the law gives you rights that this agreement does not, the law applies.

Where the Code on Social Security, 2020 and the rules under it require, Stachy shares your details with the government to register you as a platform worker, and pays the contribution the law requires of it. This does not make you our employee.

2. Joining

You apply in the Stachy Rider app. Every application is checked by a person before it is approved.

You must give us, and keep current:

  • your photograph;
  • your Aadhaar card, for identity;
  • your PAN card. Stachy needs your PAN for income tax: without a valid one, the tax deducted from your payouts is at a higher rate (clause 7);
  • a valid driving licence for the vehicle you ride;
  • your vehicle's details.

You must be at least 18 and legally entitled to work in India. Tell us promptly if any document lapses or changes. Riding without a valid licence is illegal and is a ground for immediate suspension.

How we use and protect these documents is set out in the Privacy Policy.

3. Your vehicle and insurance

You must keep your vehicle roadworthy and lawfully registered, and hold at least the insurance the law requires.

**We do not insure you, your vehicle, or the goods you carry.** Loss, injury or damage on the road is not covered by this agreement. You may wish to arrange cover of your own.

4. How deliveries are offered

An order is offered to available delivery partners near the shop shortly before the shop expects it to be ready, worked out from the time the shop set, or straight away when the shop marks it ready. It is usually offered to the nearest first. If an offer is declined or not answered in time, it is offered to the next partner, and after several rounds to several partners at once.

Each offer shows the shop, the distances, what you will earn, whether there is money to collect at the door, and how long the order has before it is ready. The customer's address is shown only after you accept.

When few partners are free, you may be offered a second order from the same shop or one close to it while you are on your way to collect. You can see every order on your trip in the app, collect them all, and choose which to deliver first.

  • **Accept** by sliding to accept before the offer's time runs out.
  • **Decline** if you do not want it. Declining is recorded, the order is offered to someone else straight away, and the same order is not offered to you again for a short while. Declining is never a ground for suspension.

Once you accept, the delivery is yours until it is completed, you hand it back, or we reassign it.

5. On a delivery

  • Go to the shop and collect the order. Confirm the collection in the app.
  • Carry it as it was given to you. Do not open a sealed order, or consume, remove, replace or tamper with anything in it.
  • Take it to the delivery address by the route you judge best.
  • At the door, ask the customer for the handover code shown in their app, and enter it. Take the photograph of the order at handover when the app asks. Then confirm the delivery.
  • Be courteous. Do not ask for money beyond what the app says is due, and do not ask for a tip.

If you have accepted a delivery but cannot collect it, hand it back in the app before collecting, choosing the reason: the shop is closed, you have had an accident, or your vehicle has broken down. It is then offered to someone else. There is a daily limit on hand-backs, shown in the app; a closed shop while you are at it, an accident or a breakdown does not count towards it. **Handing back a delivery never reduces your earnings.** If a ready order is not collected for too long, we may take it off you and offer it again.

6. What you earn

You earn a delivery fee for each delivery you complete. The fee for a delivery is shown on the offer before you accept it, and the amount shown is the amount you are owed for that delivery.

**Offers never reduce it.** If the customer had a discount, a promo code or free delivery, you are still paid the fee shown on the offer: Stachy pays it in full. Where GST applies to a delivery fee, it is charged to the customer on top of the fee and is never taken from your earnings.

Rider earnings, and any platform fees, commissions, deductions or other charges that apply to them, are governed by this agreement and by the commercial and payment terms communicated to you by Stachy in the app. Stachy may introduce or change a rider-side fee or commission. We will tell you in the app before any such change applies, and it will apply only to deliveries offered after it takes effect.

The fee is earned when the delivery is completed. A delivery that is not completed does not earn it, except as set out in clause 9.

7. Payouts

What you have earned is paid to the bank account or UPI ID you add in the app. We check new or changed payout details before paying them. If we cannot verify them, the app tells you why so you can correct them.

Each payout lists the deliveries it covers and any cash deducted from it. If you think a payout is wrong, raise it with us and we will show you how it was worked out.

**Income tax deducted at source.** Where the Income-tax Act, 2025 requires, Stachy deducts TDS from your payouts, at the rate the law sets, which is higher if no valid PAN is on record. It applies once a single payout, or your payouts in the financial year, pass the limits the law sets; on the payout that crosses the yearly limit, it is worked out on the year's payouts so far. It is worked out on what you earned, before any cash you are holding is deducted. TDS is shown on the payout, paid to the government in your name, and you receive a TDS certificate, which you can use in your income-tax return. The rates and limits are the ones the law sets at the time, and each payout shows the rate it used.

8. Money you collect at the door

Some orders have a balance to collect at the door. The customer may pay it by scanning the Stachy payment QR code you show them, or, where cash is offered, in cash.

**Cash you collect belongs to Stachy, not to you. It is not your earnings.** You hold it for us from the moment it is handed to you, and the app records it when the handover code is entered.

You can settle the cash you are holding by:

  • paying it in using the payment link in the app;
  • handing it in to Stachy, which records it; or
  • having it deducted from your next payout.

The app shows how much cash you are holding. There are limits. Above the first, you are asked to pay in. Above the second, orders with money to collect are not offered to you until you do. The limits are set by Stachy and shown in the app.

You must not spend, lend or keep this money, or hold it back against a payment you believe you are owed. Raise the dispute instead.

9. When a delivery cannot be made

Tell us honestly and promptly, using the reasons in the app. Some reasons ask you to write what happened.

Where a second attempt makes sense, you will be asked to try again. Where it does not, the order ends there.

**When a grocery order ends undelivered, the goods go back to the shop.** They are not yours to keep or dispose of. Take them back and confirm the return in the app.

Cooked food and bakery orders are not taken back, because they cannot be sold again. The app tells you when an order does not need to go back, and you can then take your next delivery.

If the failure was not your doing, for example the shop gave you the wrong order or we gave you a wrong address, tell us. Where you have done what this agreement asks, we will not treat it as your failure.

**When an order is cancelled after you accept it,** or cannot be delivered for a reason that is not yours, you are paid for the trip according to how far it had got: nothing if you had not yet reached the shop, a part of the delivery fee once you have reached the shop, and the delivery fee in full once you have collected the order, which covers taking grocery back to the shop where that is needed. The parts that apply are set by Stachy and shown in the app, and each such trip, with what it paid and whether anything had to go back, is shown in your trip history. Nothing is paid for a trip you could not continue yourself, for example after a breakdown.

10. Your safety

If you feel unsafe, leave, and tell us in the app. No delivery is worth your safety. If you have an accident or break down, tell us so the order can be reassigned.

11. Location

While you are on duty, the app records your location. It is used to offer you nearby orders, to show customers their delivery approaching, and to check collections and returns. It stops when you go off duty.

12. Customer information

You see a customer's name, address and phone number only for the delivery in hand, and the customer sees your name, vehicle and phone number while you are carrying their order, so either of you can call or message the other about it. You must use them only to complete that delivery, and must not keep, share or use them for anything else, including contacting the customer afterwards.

13. Conduct

You must not:

  • let anyone else use your account, or use someone else's;
  • tamper with, keep or fail to return goods;
  • keep or misuse cash you collected;
  • behave abusively, unsafely or unlawfully towards customers, shops or our staff;
  • accept deliveries and repeatedly abandon them;
  • enter false information, or confirm a collection, handover or return that did not happen.

14. Suspension and removal

We may suspend or remove you, with notice where reasonably possible and immediately where it is not, if you break clause 13, if a document lapses or was not valid, or if we reasonably suspect fraud.

We will tell you the reason. What you have already earned is still paid to you, less any cash you are holding. We may hold a specific payout while a dispute about that money is being looked into, and we will tell you which one.

You may appeal to our grievance officer at support@stachy.in.

15. Ending this agreement

You may stop at any time. Finish or hand back any delivery you hold, return any goods, and settle any cash you are holding. We will pay what you have earned.

We may end this agreement on seven days' notice, or immediately on the grounds in clause 14.

16. Liability

To the extent the law allows, we are not liable to you for loss of earnings or opportunity, or for indirect loss.

Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

17. Changes

We may change this agreement. We will ask you to accept the new version in the app before you next go on duty. A change to how you are paid never applies to deliveries you have already accepted.

18. Disputes and governing law

Raise any issue through the app, at support@stachy.in or on +919581423817. If it is not resolved, write to our grievance officer at support@stachy.in.
