Seller Agreement

These are the terms between Stachy and a shop selling through it — a grocery store, a bakery or a cloud kitchen. Accepting an order means accepting these terms.

1. What Stachy is

Stachy lists your shop, carries orders to you, takes payment from the customer, and settles what we collect to you.

We are not a buyer and not a reseller. You sell to the customer. We are the channel between you.

2. Joining

You apply through the Partner app or the website. An application is checked by hand, including your FSSAI licence, and approval usually takes 1 to 2 days.

Your shop opens closed. You add what you sell, then open it yourself when you are ready.

3. What you must have

  • A valid FSSAI licence for the whole time you sell. Trading without one is illegal, and your number is shown on your shop page.
  • A PAN card.
  • A GSTIN only if you are registered for GST. It is optional, and most shops will not have one.

Tell us if a licence lapses or a detail changes. Selling on an expired licence is grounds for immediate suspension.

4. Your prices

You set them. We never mark up, discount or change what you charge.

The customer pays your price plus our handling charge, which is shown to them as a separate line and is ours, not yours.

5. How an order reaches you

Groceries. The customer sends a list in their own words. You price it against what is actually on your shelves and strike through anything you do not have.

Bakery. The customer chooses from what you have listed, at the price you set.

Cloud kitchen. The customer orders from your published menu at your listed prices.

You may decline an order. Declining is better than accepting one you cannot fill.

6. Money

How much the customer pays up front depends on the kind of order, and it is fixed at the moment the order is placed:

- A grocery order is booked with a deposit. The balance is paid to you directly at handover.

- A cloud kitchen order is paid in full when it is placed. There is no balance.

- A bakery order is paid in full when it is placed, unless we are running bakery orders on a deposit, in which case it is booked with one and the balance is paid to you at handover. Which of the two applied is recorded on the order itself.

Where a balance is paid to you at handover, it never passes through us.

Whatever applied when an order was placed continues to apply to that order. If we change how a kind of order is paid for, the change affects new orders only: we do not re-bill a customer, and we do not alter what you are owed on an order that has already been placed.

What we collect is settled to you, itemised. Our handling charge is not deducted from your goods — the customer pays it on top.

Stachy currently charges no commission on sales. If this changes, you will be shown the new rate in the Stachy Seller app and asked to accept it before it applies to you.

7. Handing over

Every order carries a four-digit code. Check it before handing anything over. It is what confirms the person at your counter is the person who ordered.

Where a rider collects, check the code with the rider in the same way.

8. Packaging

You pack the order. We do not pack it, repack it, open it or supply any packaging for it, and we do not inspect what you use. A rider or a collecting customer receives it exactly as you sealed it.

Packaging must be lawful. Under the Plastic Waste Management Rules 2016 as amended, at the date of this agreement:

  • Plastic carry bags must be at least **120 microns** thick.
  • Non-woven plastic carry bags must be at least **60 GSM**.
  • The banned single-use plastic items may not be used at all. These include plates, cups, glasses, cutlery, trays, straws and stirrers, wrapping or packing film around sweet boxes, ear buds with plastic sticks, balloon and candy sticks, and thermocol used for decoration.
  • Compostable bags are allowed without the thickness limit only if they are certified by the CPCB to IS/ISO 17088 and carry that certification mark. A bag printed with the word "biodegradable" and nothing else does not qualify.

Your state or municipality may go further than the national rules, and several do. Keeping up with what applies where you trade is yours, not ours — these figures are what we understand to be in force and are not legal advice.

Paper, cloth, jute and reusable containers are always safe choices.

Where packaging you used is unlawful, any fine, environmental compensation, seizure or other penalty is yours, and you will keep us whole against any claim we face because of it.

9. Your obligations

  • Keep your opening hours accurate, and mark yourself closed when you are.
  • Keep your listings honest — weights, prices, ingredients and veg or non-veg marks.
  • Prepare orders you have accepted with reasonable care and hygiene.
  • Treat customers and riders civilly.

10. Complaints and refunds

Where a customer reports a missing, wrong or damaged item and the complaint is upheld, the cost is yours. It is your goods and your preparation.

We will bring you the complaint and the evidence, and will not settle one against you without asking you first.

11. Suspension

We may suspend a shop for an expired licence, repeated unfulfilled orders, listings that misrepresent what is sold, or conduct towards customers and riders that we judge unacceptable.

Where a suspension is not for a safety or legal reason, we will tell you why and what would lift it.

12. Ending this agreement

You may stop selling at any time. Close your shop in the Partner app and tell us.

Orders already accepted must still be fulfilled, and money already collected is still settled to you.

13. Changes

We may update this agreement. Material changes are announced in the Partner app before they take effect, and you will be asked to accept them.
