Seller Agreement — Cloud Kitchens

This agreement is between Stachy ("Stachy", "the platform", "we") and you, the operator of a cloud kitchen listed on Stachy. It applies from the moment you accept it in the Stachy Partner app.

It is separate from the Seller Agreement signed by grocery and bakery partners, because what a kitchen undertakes is different: you prepare food to order, your orders are always paid in full at the time of ordering, and you choose whether customers may collect from you at all.

1. FOOD SAFETY AND LICENSING

You confirm that you hold a valid FSSAI registration or licence covering the premises from which you prepare orders, and that the number and expiry date recorded on your Stachy account are accurate. You will update them before they lapse. A licence we cannot verify as current may result in your kitchen being taken offline until it is.

You are responsible for the hygiene, storage, handling, packaging and labelling of everything you prepare and hand over.

You are responsible for the accuracy of what your menu declares. This includes the veg, egg and non-veg mark shown on each dish in the customer app. Many customers rely on that mark absolutely, and it is yours to get right.

2. PACKAGING

You pack every order. We do not pack it, repack it, open it or supply any packaging for it, and we do not inspect what you use. A rider or a collecting customer receives it exactly as you sealed it. Hot food, spillable food and anything with a sauce is yours to contain.

Packaging must be lawful. Under the Plastic Waste Management Rules 2016 as amended, at the date of this agreement:

Plastic carry bags must be at least 120 microns thick. Non-woven plastic carry bags must be at least 60 GSM. The banned single-use plastic items may not be used at all — plates, cups, glasses, cutlery, trays, straws and stirrers are on that list, and they are the ones a kitchen is most likely to reach for. Compostable containers and bags are allowed without the thickness limit only if they are certified by the CPCB to IS/ISO 17088 and carry that certification mark; the word "biodegradable" printed on a bag is not certification.

Your state or municipality may go further than the national rules, and several do. Keeping up with what applies where you trade is yours, not ours — these figures are what we understand to be in force and are not legal advice.

Paper, cloth, jute, foil and reusable containers are always safe choices.

Where packaging you used is unlawful, any fine, environmental compensation, seizure or other penalty is yours, and you will keep us whole against any claim we face because of it.

3. COLLECTION AND DELIVERY

You choose, in Store management in the Partner app, whether you offer collection, delivery, or both. You must offer at least one.

This is a choice a cloud kitchen has and a grocery shop or bakery does not. Those are premises a customer can walk into and therefore always offer collection. A kitchen may run delivery only.

Your choice is what customers are shown and what the platform will accept an order for. If you offer collection, you undertake to have the order ready and to hand it over at the address on your listing. If you offer delivery, you undertake to have the order packed and ready for a rider within the preparation time you state.

You may change this choice at any time. It takes effect for new orders only and never affects an order you have already accepted.

4. YOUR MENU AND YOUR PRICES

Your menu, your prices. What you list is what the customer pays; the platform does not mark your prices up or discount them without your agreement.

You may set a minimum order value. It is shown to the customer before they build their bag and is enforced when the order is placed, so a customer is never allowed to build an order you would have to refuse.

You may mark individual dishes unavailable, and you may mark your kitchen closed, at any time. Neither affects orders you have already accepted. Customers are shown that you are closed rather than being allowed to order and then turned away.

5. ORDERS AND PAYMENT

Food orders are paid in full at the time of ordering. There is no deposit and no balance due on collection or delivery.

Once you accept an order you undertake to prepare it. An order you cannot fill should be declined promptly rather than accepted and then cancelled — a customer who has paid and is waiting is worse off than one who was told immediately.

6. COMMISSION AND SETTLEMENT

Stachy currently charges no commission on sales. If this changes, you will be shown the new rate in the Stachy Seller app and asked to accept it before it applies to you.

Commission is deducted from your payout. You never pay Stachy separately.

The rate in force when an order is placed is the rate that applies to that order. A later change does not reach back to orders already taken.

Every deduction is itemised on your payouts in the Partner app.

7. CANCELLATIONS AND REFUNDS

Cancellations and refunds are governed by the Stachy Cancellation Policy and Refund Policy as published, which form part of this agreement. Prepared food cannot be restocked, and those policies reflect that.

8. YOUR LISTING AND YOUR CONTENT

You permit us to display your kitchen's name, address, opening hours, menu, prices and photographs to customers, and to use them in listings, search and promotion of the platform.

You confirm that you have the right to use every photograph and description you upload, and that they represent the food you actually serve.

9. SUSPENSION AND TERMINATION

Either of us may end this agreement on reasonable notice.

We may take your kitchen offline where there is a food safety concern, a lapsed or unverifiable licence, or repeated failure to fulfil orders you have accepted. Being taken offline does not affect amounts you have already earned, which are settled as normal.

10. CHANGES TO THIS AGREEMENT

Material changes are published as a new version, and you are asked to accept it in the Partner app.

If you decline, your account is placed on hold: you can still sign in and see your orders and your payouts, but no new orders will reach you. We will be notified and we will contact you. You can accept at any time and start receiving orders again immediately.
